Terms of Service & License Agreement

1. Definitions

"EuroRAG", "we", "us": Dominykas Viečas, operating as a sole trader under Lithuanian individuali veikla, Terminalo g. 2-3, Šiauliai, LT-76371, Lithuania.

"Customer", "you": The individual or entity purchasing a license.

"Software": The EuroRAG source code, documentation, and associated files delivered via private Git repository.

"License": The right to use the Software as described in these terms.

4. Tiers and Pricing

EuroRAG is offered in tiers with differing feature sets, update entitlements, and support levels, as described on the pricing page at eurorag.eu and in the LICENSE included with the Software. The tier, price, and entitlements applicable to your purchase are those displayed at checkout at the time of purchase. All prices are one-time payments; the Software itself carries no recurring subscription. Optional update-access renewal is available as described on the pricing page.

5. Delivery

The Software is delivered as access to a private Git repository hosted on GitHub. To fulfill your purchase, we collect your email address and GitHub username at checkout. This data is stored in our customer database (hosted on Cloudflare, EU Standard Contractual Clauses in place) and used to generate your license key, send your purchase confirmation, and grant repository access. Access is granted within 24 hours of payment confirmation, typically within minutes via automated invitation.

6. Updates

Your tier includes updates for the period specified in Section 4. After the update period expires, your license remains valid - you keep and can continue to use the last version you received.

We do not provide deployment services, custom development, or guaranteed response times.

8. Warranty Disclaimer

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant that the Software will meet your specific requirements, operate without interruption, or be free of defects.

The Software includes technical tools for GDPR compliance (deletion cascades, audit logging, consent management, data export). However, GDPR compliance depends on your deployment, configuration, organizational measures, and legal context. We do not guarantee that your use of the Software will make you GDPR-compliant.

9. Right of Withdrawal (EU Consumers)

This Software is digital content not supplied on a tangible medium within the meaning of Article 16(m) of Directive 2011/83/EU.

By completing your purchase, you:

(a) Expressly request immediate access to the private repository and delivery of the Software; and

(b) Acknowledge that you thereby lose your right of withdrawal under Article 16(m) of Directive 2011/83/EU once repository access is granted.

This consent is collected via a mandatory checkbox at checkout before payment is processed.

If repository access has not yet been granted, you may exercise your right of withdrawal within 14 days of purchase by contacting [email protected]. Upon valid withdrawal, we will issue a full refund.

10. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability for any claims arising from this agreement shall not exceed the amount you paid for the Software. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct.

11. Governing Law and Disputes

These terms are governed by the laws of the Republic of Lithuania.

For consumers within the EU, disputes may be resolved through the European Commission's Online Dispute Resolution platform.

For all other disputes, the courts of the Republic of Lithuania shall have exclusive jurisdiction.

12. Termination

We may terminate your license if you materially breach Section 3 (Restrictions). Upon termination, you must delete all copies of the Software, repository access will be revoked, and no refund is provided for termination due to breach.

13. Changes to These Terms

We may update these terms for future purchases. Existing licenses are governed by the terms in effect at the time of purchase. We will not retroactively change the terms of your license.
